Overview

Alex operates national commercial litigation, corporate law, and municipal law practice. He represents business owners, developers, contractors, and design professionals in all facets of construction law, including construction contract negotiations, surety bond disputes, mechanics’ lien claims, construction claims and management issues, and arbitrations.  He represents manufacturers, healthcare providers, and numerous agricultural clients.

In addition to assisting clients in litigation and other forms of dispute resolution, Alex serves as outside general counsel for many of his clients and as Law Director for the City of Canal Fulton.

Construction and Commercial Litigation Experience

• Lead counsel in hundreds of successful commercial breach of contract arbitrations for large publicly held client in 28 states across the country
• Lead counsel in successful trial defense of seller of multi-state property management company for alleged breach of Asset Purchase Agreement
• Obtained successful jury verdict as lead counsel for plaintiff / departing shareholder for breach of Shareholders’ Agreement
• Obtained successful jury verdict as lead counsel for company in breach of contract action by former independent contractor salesman
• Successfully negotiated resolution of delay damage lawsuit on behalf of contractor for multimillion-dollar payout by government project owner
• Successfully negotiated payment of entire Asset Purchase Agreement indemnification holdback amount to buyer on lawsuit filed by seller
• Successfully represented emerging technology company in fraud and breach of fiduciary duty case against investor group
• Successfully prosecuted delay damages claim on behalf of contractor client involved in the construction of a new office building pursuant to the federal government's mentor-protégé program
• Regularly asserts and defends bond and mechanics' lien claims on behalf of various contractor and subcontractor clients

• Represented purchaser of multi-million-dollar dairy equipment and supply company
• Represented purchasers and sellers of multiple convenience stores around Ohio
• Represented partner in start-up, acquisition, and sale of multi-million-dollar sanitary wipes business
• Represented purchaser of interstate commercial scale servicing company
• Represented seller in sale of precision machining business
• Represented seller of multiple home health and hospice businesses in Ohio and Pennsylvania
• Represent lenders in all manner of secured transactions including revolving credit lines, term loans, and Article 9 sales
• Regularly represent clients in purchase and sale of commercial real estate and commercial leases
• Regularly draft and negotiate contracts on behalf of clients, and counsel clients concerning procurement, project delivery and compliance matters

 Creditors' Rights Experience

• Represent banks and other lenders in loan workouts
• Represent creditors in all facets of bankruptcies
• Experienced in all areas of commercial debt collection, including but not limited to wage garnishments, account attachments, debtor exams, seizure and sale of personal property, filing creditors’ bill actions
• Manage foreclosure actions from filing through property sale and distribution of proceeds
• Represent receivers and creditors in receiverships
• Experienced with preparing, recording and enforcing mechanics' liens
• Overseeing prosecution of fraudulent transfer litigation
