Practice Description and Experience

Jay Ballard is a principal member of the Firm practicing in the Corporate and Securites Law Department.  Jay has extensive experience in all aspects of securities, corporate and mergers and acquisitions law, representing large, medium and small public and private companies.  Jay's wide range of securities and corporate law experience includes:

• Sale of Ohio public company to Australian holding company, including drafting and negotiation of acquisition agreements, merger proxy statement and related Securities and Exchange Commission and Antitrust Division compliance
• Representation of two Special Committees of the Board of Directors of Ohio public company in connection with sale of subsidiaries to a controlling shareholder
• Representation of present and former corporate executives in connection with civil and criminal investigations of public companies by the Securities and Exchange Commission and department of Justice
• Sale of privately held computer company to Public company strategic buyer in registered stock for stock merger transaction
• Stock for stock acquisition of privately held Canadian software company by Ohio public company
• Securities and Exchange Commission registered sale of debentures by Ohio public company through major New York underwriting syndicate
• Sale of $1 billion Ohio private company to New York strategic buyer
• Formation of publicly-registered and private hedge funds
• Representation of registered Ohio investment advisory firm with over $40 billion under management
• Representation of publicly registered mutual fund
• Preparation of numerous Confidential Private Placement Memoranda for private securities offerings
