Michael counsels clients in the areas of general and corporate business as well as real estate matters.  His practice focuses on corporate law governance issues, entity formation and organization, mergers and acquisitions, private placements, commercial real estate purchases and commercial lease negotiations.

Additionally, his practice involves the review and drafting of general contracts, asset and stock purchase agreements, employment agreements, consulting agreements, independent contractor agreements, and supply agreements.

Michael also has experience in drafting privacy policies and terms of use for clients' websites. 

He was a member of BMD's Summer Associate Program. While in law school, Michael co-founded the Corporate and Business Legal Society.

Representative Matters

Mergers & Acquisitions

  • Represented an Ohio-based dialysis practice in connection with the formation of a multimillion-dollar joint venture with one of the largest health care companies in North America, including the negotiation of the governance documents for the new joint venture entity
  • Represented an Ohio-based recycling company in connection with the acquisition of substantially all of the assets of another Ohio-based recycling company, including the real estate owned by the selling entity
  • Represented a closely held, Ohio-based insurance company, in connection with the sale of substantially all of its assets to a private equity-backed acquirer, including negotiating and drafting the employment agreements for the individual sellers who were being employed by the acquirer
  • Represented a private equity-backed health care company, which operates in 13 states, in connection with the purchase of substantially all of the assets of an eating disorder treatment center, including negotiating and drafting the employment agreements for the key principals of the treatment center
  • Represented a closely held, Ohio-based software company, in connection with the sale of all of its capital stock to a private equity-backed acquirer, including negotiating and drafting the employment agreements and stock option award agreements for the individual sellers who were being employed by the acquirer
  • Represented a privately held, Indiana based manufacturing company, in connection with the acquisition of substantially all of the assets of a privately held, Ohio-based manufacturing and design company, including the manufacturing facility owned by the seller
  • Represented an Ohio-based gastroenterology practice in connection with the acquisition of substantially all of the assets of another Ohio-based gastroenterology practice
  • Represented an Ohio-based ophthalmology practice in connection with the acquisition of substantially all of the assets of another Ohio-based ophthalmology practice, including negotiating the assignment and assumption of the existing lease for the practice

General Corporate

  • Represented an Ohio physician in connection with the settlement of a lawsuit, which included the reorganization of a multimillion-dollar biopharmaceutical company, including, negotiating and drafting the substantive transactional documents for the reorganization and the amended and restated governance documents for the biopharmaceutical company
  • Represented a physician investor relating to his investment in a large private-equity fund, which included negotiating such physician’s medical director agreement with the private-equity fund’s management services organization
  • Represented a 50% shareholder of an Ohio based roofing company in a buy-out of such shareholder’s shares by the other 50% shareholder
  • Represented the 51% majority-owned health system in connection with a joint venture arrangement whereby a third-party health system acquired a portion of the 49% minority-owned entity’s membership interests in such joint venture

Real Estate

  • Represented a real estate holding company in connection with the sale of its two-story office building, including, the assignment of existing tenant leases
  • Represented a medical and dental care practice in connection with its acquisition of two parcels of land in order to expand its practice reach
