Overview

Dustin is dedicated to helping clients develop and execute their strategies to accomplish their transactional goals. He strives to provide guidance and strategic support to clients to help them navigate complex challenges and achieve their desired outcomes.

He prepares, evaluates, and negotiates a diverse array of corporate contracts and agreements, offering thorough legal advice on various issues to ensure adherence to applicable laws and regulations.

During his time at Case Western Reserve University, Dustin was a compliance extern at the Mid-American Conference and a law clerk at the City of Cleveland Department of Law. Dustin was also a law clerk with the Milton A. Kramer Intellectual Property Venture Clinic, where he helped businesses through trademark and copyright application processes, disputes, and infringement claims.

Dustin was engaged in the Case Western Reserve University community, serving as a fellow for the CWRU Alumni Venture Capital Fund, competing in the Tulane Football Negotiation and Baseball Arbitration Competitions, and leading as President of the Sports and Entertainment Law Society.

His interests include traveling, playing hockey, and watching Ohio State and Houston sports teams.

Mergers & Acquisitions

• Represented commercial cleaning and facility maintenance company in connection with its $65.5 million sale of all outstanding equity interests to strategic acquirer, including post-closing rollover of consideration into parent of acquiring group.
• Represented a private equity-backed purchaser in connection with the acquisition of all the assets of a manufacturing company for $2.85 million.
• Represented manufacturing companies in connection with the sale of all assets for an aggregate purchase price of $42 million, plus a $4 million rollover equity position in the acquiring company's parent entity.
• Represented a dealership in connection with the sale of business assets and real estate properties for a combined total of $53 million to strategic acquirers.
• Represented a seller in a $6 million property and asset sale across two states and, ensuring smooth coordination and compliance with multi-jurisdictional requirements.

Banking & Finance

• Represented a commercial lender in providing construction loans for dealership facilities.
• Represented lender in a $20 million construction and term loan for a distribution center project, involving complex lease and mortgage arrangements.
• Represented lender on a $27 million mortgage loan secured by a commercial office building, involving combined loan sale and deed-in-lieu transactions.
